Healthcare Mergers & Acquisitions

Nathan Fish has a broad range of experience advising clients on healthcare mergers and acquisitions. His transactional background includes representation of hospitals, pharmacies, IDTFs, DMEPOS suppliers, home health agencies and hospices, device manufacturers, physician and dental practices, skilled nursing facilities, ambulatory surgery centers, and other healthcare and life sciences businesses in acquisitions, sales, and other transactions, large and small. Nathan has significant experience conducting regulatory and corporate due diligence review and structural analysis, assisting with required pre-closing and post-closing regulatory filings, and negotiating and drafting necessary transaction documents.

Healthcare Corporate Law

Nathan provides general corporate advice to healthcare and life sciences businesses, from healthcare entity formation and structuring around the corporate practice of medicine doctrine and fee-splitting laws to ongoing corporate governance. He also assists private equity and growth investors and their portfolio companies with a range of corporate and transactional issues, including equity investments, disposals, employment matters, management incentivization, and corporate restructurings. When disputes arise, such as partner and shareholder conflicts, contract disputes, or payor disagreements, Nathan provides healthcare litigation support to protect his clients' business interests. Nathan has also served as outside general counsel to healthcare and life sciences entities.

Regulatory & Compliance

Nathan Fish has extensive experience navigating the complex landscape of state and federal laws governing the healthcare and life sciences industries. He is intimately familiar with the federal Anti-Kickback Statute and Stark Law, similar state anti-kickback and self-referral laws, Medicare and Medicaid program requirements, state professional and facility licensing requirements, transparency reporting requirements, privacy laws, and other state and federal laws that impact healthcare and life sciences businesses. Nathan also advises clients on billing rules and regulations, including rules relating to "incident to" billing, modifier use, out-of-network billing, and billing by specific types of providers and suppliers (such as IDTFs, DMEPOS suppliers, laboratories, and physician practices).

His regulatory background includes representation of hospitals, skilled nursing facilities, physicians and group practices, telemedicine and digital health providers, DMEPOS suppliers, IDTFs, laboratories, home health agencies, pharmacies, fertility clinics, GPOs, drug and device manufacturers and suppliers, and other healthcare and life sciences companies.

Nathan also helps clients develop, implement, and enhance healthcare regulatory compliance programs, including HIPAA compliance policies and procedures that protect patient data and reduce the risk of privacy and security violations. He provides hands-on support such as in-person and virtual compliance training for board members, senior executives, managers, and employees, and he has served as outside compliance officer for healthcare entities. He regularly handles complex matters and provides practical, real-world advice that clients can implement in their day-to-day operations.

Audits, Investigations & Appeals

Nathan Fish represents physicians, chiropractors, podiatrists, dentists, nurses, medical groups, clinics, DMEPOS suppliers, skilled nursing facilities, and other healthcare providers and suppliers dealing with Medicare enrollment and revocation appeals, Medicaid enforcement actions, and payor audits and investigations. He also defends individual and facility licenses in licensure board investigations and appeals. His background includes assisting clients with internal investigations, voluntary self-disclosures, government inquiries and subpoenas, and exposure under the False Claims Act. He also handles Medicare appeals and appeals of deficiencies, citations, and other adverse actions.
